IWCM Bylaw

    1. GENERAL PROVISIONS
    • TheInternational Women’s Club of Moldova” Non-Governmental Organization is a non-governmental, non-political, non-profit organization established on the basis of free will of associated persons for the achievement of goals defined by these bylaws.
    • Full name: International Women’s Club of Moldova” Non-Governmental Organization (hereinafter – IWCM).
    • The IWCM is constituted to perform its activity in accordance with the Constitution of the Republic of Moldova, the Law of the Republic of Moldova no.86, of June 11, 2020 about Non-Commercial Organizations, Civil Code of the Republic of Moldova and the present charter.
    • The IWCM is incorporated and maintains its legal status as a “Non-Governmental Organization”.
    • The IWCM is regarded as a legal entity from the time it is registered as an NGO with the office of the Ministry of Justice of the Republic of Moldova and has all its rights and obligations assigned by the legislation given to all legal entities of such category. The IWCM has a stamp, an emblem, a bank account in MDL (Moldovan Lei) and in a foreign currency, a fiscal code, its own financial balance sheet and other attributes as that of a legal entity.
    • The IWCM will perform its activity on the entire territory of the Republic of Moldova, therefore regarding the entity as a republican NGO. The term of operation of the IWCM is perpetual.
    • The IWCM is non-profit, non-political, of public utility.
    • The IWCM  will use its entire profit from its activity towards fulfilling the purposes and goals provided by these bylaws.
    • The IWCM does not support political parties, electoral blocks and candidates in election to positions of state authority and will not use any part of its income or property in the financing of such.
    • The IWCM has the following logo: A round globe on a white background and a profile of a woman, whose face looks to another part of the globe, and on the opposite side are all the continents of the globe on a bright green background, and on the round circle of the globe is written the name of the entity: International Women’s Club of Moldova.
    • Members do not retain rights over the assets of IWCM; that being property or membership fees. Members are not responsible to fulfil the obligations of the IWCM, and in return, the IWCM is not responsible to fulfil the obligations of its members.
    • The IWCM has distinct assets, necessary for carrying out the purposes and activity of the entity provided by these bylaws and fulfils its obligations using this assets as deemed necessary.
    • The IWCM will be located at the following address: MD-2025, Republic of Moldova, Chisinau mun., nr. 21, Arborilor street.
    1. PRINCIPLES OF IWCM ACTIVITY
    • The IWCM is organized to perform its activity under principles of freedom of alliances, legality, openness and transparency, equality of rights of all members, freedom of expression of opinion by all members and their access to any information related to the activity of the IWCM, to self-administration and self-funding.
    • The IWCM is free to choose its activities, forms and methods of activity and to establish the internal organisation structure. Public authorities are not allowed to interfere with the activity of the IWCM and the IWCM is not allowed to interfere with the activity of public authorities.
    • The State respects, protects and ensures freedom of association. The State can intervene in the activity of the IWCM only if it is a necessary measure as deemed in a democratic society; to ensure national security, public safety, law enforcement or prevention of crime, as well as protection of health, protection of morals, protection of rights and freedoms of others.
    • The IWCM through its activity will promote national values and interests; civic, and democratic principles. It will support principles of the constitutional state, open competition and will observe ethic norms as of those entities in the non-commercial sector.
    • The IWCM will avoid conflicts of interest during its activity.
    • The activity of the IWCM is transparent to the public. Information regarding the entity’s bylaws and its programs is accessible to all. All persons and registered legal entities are guaranteed free access to the annual reports as well as financial reports of the IWCM.
    • The IWCM may express its views in regards to the programs of political parties and socio-political organizations, as well as electoral contestants and their programs.
    • The IWCM  cannot support materially, nor can it provide free services to political parties and socio-political organizations.
    • The IWCM may not be obliged to accept new members except under the conditions laid down in these bylaws.
    1. GOALS AND METHODS OF ACHIEVEMENT
    • 1. The IWCM is organized for the following purposes:
    • To ensure the development and implementation of plans and projects at national and international level in various fields such as providing social and material support services to vulnerable people, women and children, promoting equal opportunities for women and men, working for the benefit of the people of Moldova and carrying out activities necessary for the protection and defence of their rights, psycho-social intervention, integration in the labour force of disadvantaged people, those having dysfunctional families or victims of domestic violence and human trafficking, public awareness of democratic values, education of society, defending the rights of all categories of people, tolerance in society, etc. Organizing conferences, seminars, research groups on these topics and creating a database on topics through teamwork. Announcing the results obtained through books, magazines, newspapers, television and other media.
    • Development and implementation of projects to organize activities in Moldova and other countries on the above mentioned topics.
    • Creation of new relationships, strengthening existing relationships, developing plans, projects and organizations to carry them out in the fields of dialogue, friendship, education, culture, trade, media, arts, sports and social issues in Moldova and other countries of the world .
    • Identifying solutions to problems in various fields such as economic, social, cultural and educational. Development and implementation of plans and projects in order to achieve these goals.
    • Ensuring the development and implementation of projects within the European Union’s multicultural program, which will help to develop and continue the agreement between different cultures.

    3.2 The IWCM  will perform the following activities for the sole purpose of achievement of its purposes:

    • Raising the quality level of the cognitive and intellectual potential of the citizens;
    • Providing assistance to socially vulnerable people;
    • Providing, in accordance with the requirements of the legislation, consultative assistance, analysis, evaluation, monitoring in all sectors and socio-economic spheres;
    • Development, implementation / realisation, evaluation and monitoring of various projects at local / national level in order to develop the socio-economic and human potential of the Republic of Moldova and in order to achieve the objectives of the IWCM.

    3.2  In order to achieve the proposed goals, the IWCM has all the rights guaranteed by the legislation of the Republic of Moldova, including:

    • to represent the interests of IWCM members in public authorities and other organizations;
    • to ensure protection of rights and interests of its members;
    • to create and develop its own mass media;
    • to publish its own editorial materials;
    • to freely propagate information about its activity;
    • to obtain necessary information from public authorities to carry out the statutory activity;
    • to sign contracts in its name,to obtain and produce goods in accordance with its statutory purposes;
    • to request and receive financial and material means, from the country or from abroad, including public funds;
    • to finance programs, in the country and abroad, by providing grants, scholarships, material and financial aid;
    • to benefit from the State’s percentage designation offer;
    • to participate in national and international competitions in order to receive orders of a social nature from the State and to obtain grants and scholarships from other countries, from national, foreign and international foundations;
    • to make multilateral agreements of cooperation with other persons or legal entities in order to achieve statutory goals and objectives;
    • to incorporate enterprises and other organizations as legal entities;
    • to acquire property (movable and immovable) necessary to carry out and ensure the proper functioning of the IWCM:
    • to enjoy all other rights granted by legislation.

    3.3. The IWCM is obliged to comply with the legislation of the Republic of Moldova, including:

    • to adjust its bylaws in case of changes in the legislation;
    • to keep records of its members;
    • to present, within maximum 3 months, to the state registration body the documents confirming the change of the bylaws, the change of the electronic address, the change of the headquarters address, and the composition of the management and control bodies.

    3.4       In accordance with Art. 6 para. (2) of Law no. 86 of June 11, 2020 regarding non-governmental organizations, in order to achieve its statutory purposes, the IWCM may carry out any kind of activity not prohibited by law. The IWCM has the right to carry out economic activity, including social entrepreneurship. The economic activity can be exercised either directly by the IWCM, or by setting up legal entities for profit.

    1. MANAGEMENT AND CONTROL BODIES
    • Structure of the IWCM covers the following bodies:

    – General Assembly;

    – Board of Directors;

    – Administrator;

    – Auditor.

    • The General Assembly of IWCM

    The supreme governing body of the IWCM  is the General Assembly of its members or delegates, which meets ordinarily and extraordinarily .

    • The general Assembly has the following basic competences:
    • determines the main directions of the IWCM’s activity;
    • decides to adopt, add or amend the bylaws;
    • examines and approves the annual budget with its balance sheets;
    • elects and revokes the members of the Board of Directors and the Auditor;
    • approves the reports of the Board of Directors and the Auditor;
    • decides on the reorganization or liquidation of the IWCM, appoints the liquidation committee and approves the liquidation balance;
    • decides any other issues related to the activity of the IWCM.;
      • The mandate of all elected bodies by the General Assembly is of 3 years.
      • The ordinary meetings of the General Assembly are convened by the Board of Directors when requested by the interests of the IWCM, but not less than once a year, both physically and online on any platform. The convening of the supreme body, namely the General Assembly, will be communicated to each member by personal e-mail, the electronic page of the IWCM, a letter, or a telephone call.
      • Calling of the extraordinary meeting of the General Assembly is made by the Board of Directors on its own initiative, at the request of the Administrator, the Auditor or at the request of at least one third of the total number of IWCM members.
      • The extraordinary meeting of the General Assembly shall be called no later than two months after the date of the presentation of the decision on the calling of the extraordinary meeting adopted by the subjects nominated in point 4.2.4 of the bylaws. If the Board of Directors intentionally refuses or delays the calling of the extraordinary meeting of the General Assembly, the authorized subjects are entitled to call the extraordinary meeting without the consent of the Board of Directors in the manner established for it.
      • The General Assembly is deliberative only if 50% plus one of the total number of their members or representatives are present. Each member has one vote. Decisions shall be taken by a simple majority of those present.
      • If the General Assembly is not considered deliberative, within a maximum of one month, the competent body shall repeatedly call the meeting of the General Assembly with the same agenda. The meeting called repeatedly will be deliberative with the participation of those present.
      • The General Assembly may adopt decisions only on matters included in the agenda. With regard to matters not included in the agenda, the General Assembly may take decisions only if all the IWCM members participate or are represented. With the vote of the majority of the members of the Board of Directors, the agenda of the topics addressed may be extended.
      • The conduct of the General Assembly shall be recorded in a meeting minutes signed by the Secretary of the General Assembly and countersigned by the Chairperson of the General Assembly.

    4.3. BOARD OF DIRECTORS

    The Board of Directors is the permanent governing body of the IWCM, which consists of 7 people, who are subordinated to the General Assembly.

    4.3.1. The Board of Directors has the following powers:

    • elaborates the development strategy and outlines the main directions of the IWCM ‘s activity, presenting them for approval to the General Assembly;
    • ensures the fulfilment of the decisions of the General Assembly and presents reports to the General Assembly regarding the activity of the IWCM;
    • prepares the budget of the IWCM, the annual financial report and the report on its activity presenting them to the General Assembly for approval;
    • approves the internal regulations of the IWCM and establishes its organizational structure;
    • approves staff statements, proposals for hiring and termination of staff, remuneration of work and salaries for employees;
    • delegates from among its members or the members of the Board of Directors the persons who will represent IWCM at various public and private events; at charitable activities, in Media appearances, or will represent the management of IWCM at actions of major interest for its activity profile.
    • establishes the conditions and the procedures for accepting new members in the organization, as well as those conditions and procedures for allowing members to withdraw from its ranks;
    • approves the seal, stamp, symbols and forms of the IWCM;
    • decides the creation, reorganization and liquidation of the IWCM’s branches, and the approval of their regulations;
    • manages the assets of the IWCM and the activity regarding the increase of its assets;
    • establishes the way in which the collected donations can be used and distributed;
    • ensures that ethical norms are being followed as provided in the non-commercial sector;
    • approving and expelling members of the IWCM;
    • adopting decisions regarding the procurement, distribution and alienation of the IWCM assets;
    • manage the operations of all economic activities, administration of goods;
    • decides whether the IWCM should become the founder of non-profit organizations and companies;
    • decides on all other matters that does not need the exclusive competence of other bodies of the IWCM;
    • each member of the Board of Directors may be empowered in certain areas of activity of the IWCM.

    4.3.2 The Board of Directors is elected by the General Assembly for a term of 3 years.

    4.3.3 The Board of Directors elects the Administrator of the IWCM with the vote of a simple majority of the Board of Directors.

    4.3.4 The Board of Directors elects the Board Chair by a simple majority vote of the Board of Directors. The Chair of the Board collaborates with the Administrator in coordinating the meetings of the Board of Directors. The Chair of the board transmits to the other members of the Board of Directors the agenda of the meetings, and informs the needs of the IWCM.

    4.3.5 The meetings of the Board of Directors are called as necessary, but not less than once a quarter and are deliberative, if 2/3 of the members are present. Decisions shall be taken by a simple majority of votes. The calendar of meetings can be set at the beginning of the year of activity, which runs from September to May. The notice of convening the meeting must contain the agenda, place, date and time of the meeting.

    4.3.6 At the request of a member of the Management Board, the Board shall call its extraordinary meeting within 10 days. If the Chair of the Board of Directors intentionally refuses or delays to call the extraordinary meeting of the Board of Directors, the member of the Board who requested the extraordinary meeting is entitled to call the extraordinary meeting with the support of at least 1/3 of the members of the Board.

    4.3.7 Membership of the Board of Directors ceases under the following conditions:

    • in case of death,
    • in case of resignation in compliance with the term established by the resigning person, but which may not be shorter than one month from the written approval of the Chair of the Board of Directors;
    • in case of exclusion by the decision of the General Assembly.
    • in special cases (health reasons, leaving the place of residence, family situations, etc.).

    4.3.8 In the case of situations set out in point 4.3.6, the seat from the Board of Directors shall remain vacant and another member shall be appointed as soon as possible.

    4.3.9 The Board of Directors elects the secretary of the board meetings who

    • handles the secretarial work;
    • records all requests made to the IWCM;
    • writes the minutes of the Board of Directors meetings;

    4.3.10 Taking into account the international character of the IWCM, the Board Chair will represent the IWCM to the diplomatic community.

    4.3.11. The Board of Directors may set up, if necessary, groups of experts to study certain important issues related to the activity of the IWCM, to discuss certain government programs in the field of activity of the IWCM, to raise public opinion on major issues in society.

    4.4 THE IWCM ADMINISTRATOR 

    4.4.1. The IWCM is managed by an Administrator, who is a person appointed by the Board of Directors for a term of 3 years.

    4.4.2 The Administrator of the IWCM may not be a member of the Board of Directors.

    4.4.3 The Administrator has the following responsibilities:

    • manages the activity of the IWCM;
    • adopts decisions on any issue related to the activity of the IWCM and which is not in the exclusive competence of other bodies;
    • represents the IWCM to public and third-party authorities: in the courts, in relations with other people and legal entities;
    • participates and represents the IWCM in various charitable and promotional actions;
    • administers goods and means of the IWCM; and concludes transactions and signs contracts, issues powers of attorney, opens bank accounts, signs financial documents;
    • may carry out banking operations only when assisted by the Accountant and in conformity with the decisions approved by the Board of Directors or by the General Assembly of the IWCM,
    • organizes and directs the current activity of the IWCM, its subdivisions and ensures the fulfilment of the decisions, adopted by the Board of Directors;
    • makes proposals for hiring and terminating staff;
    • is responsible for secretarial work;
    • ensures the keeping of accounting and statistical records according to the order established by law;
    • bears personal responsibility for the IWCM activity and is responsible for its real estate and current values;
    • comes up with proposals on how donations collected can be distributed and participates in the distribution of humanitarian and other aid;
    • provides the necessary public authorities with the necessary information and submits the reports established by law to them;
    • issues orders, directions, instructions;
    • decides on the forms and methods of work, ensures the integrity and rational use of the IWCM assets.
    • executes the decisions of the IWCM management and control bodies;
    • signs the revised bylaws, or the additional document representing the change made in the deed of incorporation adopted by the General Assembly (unless another person is appointed by the General Assembly);
    • prepares the annual activity report and submits it to the governing bodies for approval;
    • ensures the publication of the annual activity report;
    • exercises other duties provided by law.

    4.4.4 The Administrator cannot be:

    • the person who, by law or court decision, is prohibited from holding the position of Administrator or another position that grants the right of disposal over tangible assets;
    • an adult person protected by guardianship, insofar as, by court decision, his/her right of disposition was limited or he/she was not allowed to conclude independently or with the assistance of the guardian the legal acts of assets administration, except for the legal acts provided by Civil Code;
    • the person with an unqualified criminal record for crimes against property, economic crimes, crimes committed by persons with a position of responsibility or by the person who manages organizations, committed with intent.

    4.4.4  The IWCM’s management and/or the General Assembly may exercise control over the activity of the Administrator and may appoint one or more auditors or may decide that the activity of the Administrator be audited annually by an external auditor.

    4.4.6 The Administrator is bound to provide the auditor with all the documents necessary to carry out the audit.

    4.5 THE AUDITOR

    The Auditor is the control body of the IWCM.

    4.2.1.The control over the economic-financial activity of the IWCM is performed by the Auditor, elected by the General Assembly for a term of 3 years. The auditor may not be a member of the Board of Directors.

    4.5.2 The Auditor:

    • checks that the IWCM is in compliance with its bylaws, checks that the decisions of the General Assembly are executed by the Board of Directors and presents conclusions to the General Assembly;
    • checks the validity of opportunities and the legality of the use of the IWCM financial means.

    4.5.3 The Auditor has the right to request from the Board of Directors data regarding their activity for a given period, to get acquainted with all the documents concerning the activity of the IWCM.

    4.5.4 The Auditor performs the audit inspection once a year. The Auditor may decide to carry out controls on his/her own initiative in case of violation signs in the financial activity of the IWCM.

    4.5.5 The results of the audit carried out by the Auditor are presented in the form of evaluation reports (statements) to the Board of Directors and the General Assembly.

    4.5.6 The Auditor shall prepare a financial annual report and shall submit it to the General Assembly.

    4.5.7 The Auditor shall notify the General Assembly or any other body provided for in the bylaws if he/she has found facts that are contrary to the law or the bylaws of the IWCM and that have caused or may cause considerable damage to it.

    4.5.8 The Auditor cannot be:

    • the Administrator and a member on the Board of Directors;
    • the spouse and relative of the Administrator or of a Board member up to and including to the 4th degree;
    • a person with an unqualified criminal record for crimes against property, economic crimes, crimes committed by persons with a position of responsibility or by persons who manage commercial organizations, committed with intent
    1. IWCM MEMBERS, THEIR RIGHTS AND OBLIGATIONS
    • The founders of the IWCM become legal members of the IWCM. The members of the IWCM may be any citizens of the Republic of Moldova,  foreign citizens, persons without citizenship, persons with permanent or provisory residency in the Republic of Moldova and who recognize and support the objectives of the IWCM. IWCM is not liable for the obligations of its members and the members are not liable for the obligations of the IWCM.
    • The application to adhere to the IWCM as a member and the decision of withdrawal from membership is discussed at the Board of Directors Meeting. The decision approving or withdrawing of membership shall be brought to the attention of the General Assembly.
    • Each member of the IWCM shall pay an admission fee of 1000 MDL (Moldovan Lei). The amount of the admission fee may be modified by the decision of the Board of Directors.
    • Members of the IWCM have the following rights and obligations:
    • the right to participate in events organized by the IWCM,
    • to elect and be elected to any eligible position in the IWCM,
    • to participate in all the projects of the IWCM,
    • to publish papers and other materials in the press body of the IWCM,
    • to withdraw from the IWCM, with or without motive;
    • members of the IWCM are bound to respect the provisions of the present bylaws, the decisions of the General Assembly, of the Board of Directors, to actively participate in the achievement of the statutory purposes, and to pay the membership fee on time.

    5.5     The member who does not participate in the activity of the IWCM, deciding to terminate her relationship with the IWCM on her own initiative, as well as those members who violate the provisions of this bylaw, may be excluded from the members of the IWCM by the Board of Directors by a decision which will be subsequently notified to the General Assembly

    1. PROPERTY AND SOURCES OF FUNDING
    • Property of the IWCM is formed of:
    • annual membership fees;
    • sponsorships and voluntary donations, made by individuals and legal entities, from the country (of Moldova) and from abroad;
    • state subsidies, income obtained from securities, money deposits;
    • income from own economic activity;
    • the incomes of the commercial companies set up with the participation of the IWCM;
    • income obtained as a result of using or disposing of property;
    • public funds, including financial means obtained from the State percentage offer.
    • other sources not prohibited by law.

    6.2       The IWCM  may have such property as buildings, constructions, equipment, transport means, and other property required for achievement of goals and objectives, laid out in these bylaws.

    6.3       Donations made to the IWCM  can be in the form of immovable property, securities, copyright, shares, etc.

    6.4       All of the property of the IWCM  and profits from economic activity will be used for the fulfilment of the organization’s goals and cannot be distributed among its members.

    6.5       Property transferred to the IWCM  from its members as contributions and donations, may not be reimbursed and become the property of the IWCM .

    1. TRANSPARENCY OF ACTIVITY AND FINANCIAL REPORTS
    • The IWCM activity is transparent to the public. The IWCM publishes the annual activity report no later than 6 months from the end of the year for which it is prepared. If the IWCM  does not publish the annual activity report, it will send, within a maximum of one month, a copy of the report to any person who has requested it. At the request of the competent public authority, the IWCM  shall submit to it, within a maximum of one month, the annual activity report. The annual activity report shall contain information on the activities carried out, the value of the financial means and materials obtained and used, as well as other relevant information. 
    • The main parameters shall be reported in accordance with the legislation in effect. At the end of the financial year, the Board Chair in collaboration with the Administrator presents to the Board of Directors a financial report which is to be confirmed by the Auditor.
    • An annual financial report of the IWCM will be made in accordance with results of the year and it must contain:
    • brief presentation of the results of the IWCM activity during the reporting period;
    • the balance of the funds at the beginning of the reporting period;
    • the total income of the means and each source of means indicated in point 6.1 of these bylaws;
    • the expenses based on activity, with the indication of the expenses for the remuneration of work, breakdowns, taxes and other administrative expenses;
    • the balance of the funds at the end of the reporting period

    7.4       Financial report  will be provided to all IWCM  members at the General Assembly .

    7.5       The financial report  will be kept on file at the IWCM and publicly available making it available to be published in the press.

    7.6       All persons and legal entities are guaranteed to have a free access to financial data and indicators of the IWCM .

    1. APPROVAL AND AMENDMENT OF THE BYLAW
    • This BYLAW is approved by the General Assembly of the IWCM.
    • The proposals of the members of the IWCM regarding the amendments and completions of the present bylaw are submitted on behalf of the Board of Directors, which proposes them for examination at the next meeting of the General Assembly.
    • The amendments and additions of the Bylaw are approved by the decision of the General Assembly which is deliberative with the presence of 50% plus one of the total number of members or their representatives and if 2/3 of the number of members present at the meeting voted for them. The provisions of the bylaw regarding the headquarters of the IWCM may be modified based on the decision of the Board of Directors. Each member has one vote. Decisions shall be taken by a simple majority of those present.
    • Amendments and additions to the Bylaw shall take effect for third parties from the time of their registration.
    1. BRANCHES OF THE IWCM
      • The basic organizational subdivisions are the branches that carry out the same activity of the IWCM
      • The branches are constituted on the basis of territorial criteria and are organized of not less than 3 members. The decision about incorporation of the Branch is adopted by the Board of Directors.
      • The branch operates on the basis of the regulations approved by the decision of the Board of Directors.
      • The branch Administrator is appointed by the Board of Directors.
      • The branch Administrator presents, on a permanent basis, the report on the activity of the branch, to the Board of Directors of the IWCM.
    1. REORGANIZATION AND LIQUIDATION

    10.1 The IWCM ceases its activity by: reorganization and voluntary liquidation based on the decision of the General Assembly adopted under the conditions established by the present bylaw.

    10.2 The reorganization of the IWCM is carried out, in accordance with the law, by fusion (merger, absorption), dismemberment (division, separation) or transformation with prior notification of members. The reorganization takes effect only after its registration in the competent state body.

    10.3 Voluntary liquidation may take place if the statutory purposes cannot be achieved due to lack of funds or if the proposed statutory objectives are not met.

    10.4 The IWCM may be forcibly wound up, at the request of the Ministry of Justice, if its activity is contrary to the interests of national security, public safety, law enforcement or prevention of crime, protection of health, morals and the rights and freedoms of others, and this measure is necessary in a democratic society, as well as if the provisions of art. 11 para. (6) of Law no. 86/2020 have not been complied. Failure to submit the annual activity report after the repeated request of the Ministry of Justice is the reason for initiating the forced liquidation procedure if the activity report has not been submitted within 6 months from the second request. The examination of the request for forced liquidation falls within the competence of the Chisinau Court.

    10.5 The voluntary liquidation of the IWCM is followed by the liquidation procedure. In the liquidation process the IWCM will use its name with the term “in liquidation process”. The liquidation of the IWCM is carried out by the Liquidation Committee, appointed by the body, which adopted this decision in accordance with the provisions of the present bylaw, Law no. 86/2020 and the Civil Code.

    10.6 The person empowered by the minutes of the General Assembly will submit to the registration body a request regarding the registration of the initiation of the liquidation of the IWCM and will communicate the data of the members of the liquidation committee.

    10.7The liquidation committee has rights and obligations that do not contradict with the purpose of the liquidation. The liquidation committee suspends the activity of the IWCM, collects the receivables from the debtors, sells the assets, satisfies the creditors’ requirements and distributes the remaining assets according to the legal and statutory provisions.

    10.8. The liquidation committee draws up the liquidation balance sheet, which indicates the value and composition of the remaining assets, and presents it for approval to the body that decided on the liquidation.

    10.9 The assets remaining after the satisfaction of the creditors’ claims may not be distributed among the members of the IWCM and the members of its bodies and shall be transferred to another organization with similar purposes for the achievement of the purposes established in the bylaw.

    10.10 The liquidation committee is liable for damages caused to creditors if it has not fulfilled its obligations, distributed the assets of the IWCM before satisfying the claims of creditors or in violation of the law or the bylaw of the IWCM.

    10.11 The liquidation committee shall be liable for damages caused to the IWCM through their fault.
